1. Introduction
Welcome to Clover, a platform operated by Behind Every Cloud Ltd (“BEC,” “we,” “us,” “our”). These IT Professional Terms and Conditions (“Terms”) govern your access to and use of the Clover platform (“Platform”) to connect with vendors offering IT and Telecoms solutions.
For the purposes of these Terms, an IT Professional is defined as an individual or organization that sits on the buy-side of IT and technology services, commonly referred to as IT buyers. Only IT Professionals are permitted to use this Platform. Vendors are strictly prohibited from accessing this portal as users.
The Platform is provided free of charge to IT Professionals for use in connecting with vendors and accessing the resources offered by Clover. By accessing or using the Platform as an IT Professional, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must refrain from using the Platform.
2. IT Professional Responsibilities
2.1 Business Email Validation and Account Ownership
Your business email address is used to validate your status as an IT Professional on the buy-side. However, your Clover account is linked to you personally. If you move to a new job, you can transfer your account to a new business email address by contacting Clover’s support team. The transfer process must be completed within 30 days of leaving your current role, and you will need to provide proof of your new position as an IT Professional.
2.2 Accuracy of Information
You agree that all information provided about you is accurate and up-to-date. You are responsible for ensuring that your profile information remains accurate at all times.
2.3 Fair Usage
You agree to use the Platform in a fair and responsible manner, and not to misuse, exploit, or overload the Platform’s resources. Clover reserves the right to limit or suspend access to the Platform if abuse is detected.
2.4 Right to Revoke Access
The Clover admin team reserves the right to revoke your access to the Platform at any time if:
- You move to a vendor role, which would make you ineligible to use the Platform as an IT Professional.
- You fail to act professionally within the community groups or special interest groups facilitated via the Clover Connect/Chat function. Disruptive, inappropriate, or unprofessional behavior will lead to removal from the Platform.
3. Rewards Points
3.1 Earning Rewards Points
As an IT Professional, you may earn Reward Points for completing various tasks and activities on the Platform, such as engaging with vendors, attending webinars, providing feedback, or contributing to discussions.
3.2 Redeeming Rewards Points
Reward Points can be redeemed for a range of items, including but not limited to:
- Donations to selected charities
- Access to professional reports or resources
- Other items or services as outlined in the Clover rewards catalog
3.3 Rewards Points Expiration
Reward Points are valid for four (4) years from the date of issue. Any unclaimed Reward Points will be forfeited after this period and cannot be recovered once expired.
4. Services Provided
Clover provides a platform for you to connect with vendors offering IT and Telecoms solutions. Clover serves as a conduit for these digital interactions but does not guarantee specific business outcomes, services, or engagements. We provide the Platform “as-is,” without warranties or guarantees of any kind.
5. Confidentiality
You agree to treat all information shared by vendors on the Platform as confidential, unless otherwise agreed with the vendor. You will not disclose any proprietary or confidential information to third parties without the vendor’s express permission.
6. Disclaimers and Limitation of Liability
Clover is provided on an “as-is” and “as-available” basis. We make no warranties or representations about the quality, completeness, or reliability of the Platform’s content or services. To the fullest extent permitted by law, BEC disclaims any liability for any indirect, incidental, or consequential damages arising from your use of the Platform.
In no event shall BEC’s total liability exceed any direct damages caused, provided that the cause is directly attributable to BEC’s negligence.
7. Indemnification
You agree to indemnify, defend, and hold harmless BEC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses, including legal fees, arising out of your use of the Platform or your breach of these Terms.
8. Termination
BEC reserves the right to suspend or terminate your account at any time if you violate these Terms or any applicable law. You may terminate your account at any time by providing 7 days written notice to us. Upon termination, all rights granted to you under these Terms will immediately cease.
9. Modifications
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the Platform. You will be notified at least 14 days in advance of any modifications. Your continued use of the Platform after modifications have been made constitutes your acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
